The Jackson County Water Utility has an existing loan with the Drinking Water State Revolving Fund Loan Program for distribution system expansion east and southeast of Seymour and northeast of Crothersville as well as water mains in the Town of Brownstown. ORDINANCE NO. 2020-09
AN ORDINANCE AMENDING THE TRASH COLLECTION RATES AND PROCEDURES IN THE CITY OF SCOTTSBURG
WHEREAS, the Council passed Ordinance No. 1993-15 on 27th day of September 1993 establishing trash collection rates and procedures in the City of Scottsburg, Indiana; and
WHEREAS, it is necessary to establish new collection procedures and rates to produce sufficient revenue to pay for expenses and maintenance related to the sanitation department;
NOW THEREFORE BE IT HEREBY ORDAINED BY THE COMMON COUNCIL OF THE CITY OF SCOTTSBURG, INDIANA:
Section 1: Chapter 78, Article 2 of the City Code should be replaced with the following language:
Sec. 78-31: Definition of Trash: As used in this Ordinance “trash” means all putrescible and non-putrescible solid and semisolid items of waste except for:

  1. Liquids
  2. Liquid or water carried wastes which are normally disposed of in sanitary sewer systems
  3. Hazardous wastes
  4. Building materials
  5. Appliances, furniture, household fixtures, and any other bulky items
    Sec. 78-32: Trash Collection Services:
    a. The City of Scottsburg Sanitation Department shall provide curbside trash collection service to residents and businesses within the City. Residential trash collection services shall be provided on a weekly basis, with times and locations to be determined by the City of Scottsburg Board of Public Works and Safety.
    b. The schedule shall be subject to change necessitated by special circumstances, including but not limited to: holidays, special events, weather, or equipment breakdown.
    Sec. 78-33: Authorized Containers and Rates:
    Eligible containers include:
    a. Special Disposable Bags:
  6. 33 gallons;
  7. Cannot weigh more than 25 pounds; and
  8. Must be purchased from the City or other authorized seller.
    b. Special Stickers Placed on Your Own Bags:
  9. Cannot be larger than 33 gallons;
  10. Cannot weigh more than 25 pounds; and
  11. Must be purchased from the City or other authorized seller.
    c. 33-Gallon Trash Can:
  12. Residents must provide their own trash can;
  13. City furnishes trash label to be placed on can;
  14. All trash must be placed in trash bags inside the can; and
  15. Must contact utility office to set up service.
    d. Dumpsters:
  16. Resident/Business must furnish their own dumpster; and
  17. Must contact the utility office to set up this service.
    e. Rates: The rates for the above services are set out below. Said rates are subject to change in accordance with Ind. Code 36-9-30-21 (i).

Sec. 78-34. Requirements for Collection of Trash: Items to be picked up by the city pursuant to this trash collection service shall be placed adjacent to the curb immediately adjacent to the individual’s residence or place of business, within five feet of the curb or traveled portion of the street prior to 7:00 a.m. on the date scheduled for collection, but not earlier than 10:00 p.m. on the date preceding the scheduled collection. Any dumpster must be located on solid ground and have convenient access by the city’s trash trucks.
Sec. 78-35. Reserved.
Sec. 78-36. Revenues; special fund: The revenues generated from the collection of fees and service charges from trash collection as provided in this article shall be deposited in a separate fund, expenditures from which shall be limited to costs associated with the collection and disposal of trash and the purchase of equipment necessary to provide such services to the residents and citizens of this city.
Sec. 78-37. Central Trash Disposal Areas:
The city may from time to time provide one or more community trash disposal areas, where residents and property owners within the city may dispose of their noncommercial trash in receptacles provided at such locations. Disposal of trash at such sites shall be in the receptacles provided. If all receptacles are full, no further disposal or deposit of trash by persons shall be permitted.
Disposal of trash at such locations shall be limited to those days and times as shall be posted at such sites, which may be changed by the city as deemed necessary. The city street commissioner is authorized to temporarily prohibit trash disposal at such sites if in his opinion such temporary prohibition is necessary to protect such sites or to ensure their proper use.
Trash receptacles in the city parks, on public sidewalks, or on city property are not community trash disposal areas. Persons shall not use such facilities for the disposal of trash accumulated at their residence or place of business.
Sec. 78-38. Unlawful Use of Dumpsters for Trash Disposal: It shall be unlawful for any person to use the dumpster of another person, business or facility for the disposal of trash not generated at the household, business or facility owning or possessing the dumpster.
Sec. 78-39. Penalties for Nonpayment and Violations:
a. A person violating provisions of this article may be served by an authorized enforcement person with a notice of violation. The person upon whom a notice of violation is served may admit liability to the violation and pay a civil penalty of $25.00 directly to the city for a first-time violation. Any subsequent violation shall incur a civil penalty of a minimum of $100.00. Every day a violation of this rule occurs, shall constitute a separate violation subject to penalty.
b. If in the opinion of the authorized enforcement person the violation is so substantial as to warrant a more severe penalty, the authorized enforcement person may issue a notice of violation and citation to appear in the county superior or circuit court for determination of the alleged violation of this article.
c. Except as otherwise provided in this section, any person found in violation of the provisions of this article shall be fined as provided in section 1-12 for each violation. The city may also seek an injunction to prevent further violation of this article.
d. In addition to the fines imposed by subsections (a), (b) and (c) of this section for the violation of any provision of this article, the violator shall also be liable to the city for all damages and expenses incurred by the city by reason of such violation, which are established in a civil action brought for such purpose.
e. If any fee established in this section to be paid by any user or owner of property is not paid within thirty (30) days after the fee is due, the amount of the fee, together with a penalty of ten percent (10%) and a reasonable attorney’s fee, may be recovered by the city in a civil action commenced in the name of the city.

Section 2: For the purpose of collecting and billing, the charges adopted shall become effective on bills payable or purchases made on or after September 1, 2020.
Section 3: This Ordinance shall be in full force and effect in upon its passage by the City Council, its publication in accordance with law and upon the passage of any applicable waiting period, all as provided by the laws of the State of Indiana. All ordinances or parts thereof in conflict herewith are hereby ordered amended or repealed. If any provision is later to be found invalid it shall not operate to invalidate any other provision. All acts taken pursuant to the adoption of this Ordinance are hereby ratified.

NOTICE OF EXECUTION AND APPROVAL OF LEASE BETWEEN THE JACKSON COUNTY BUILDING CORPORATION AND JACKSON COUNTY, INDIANA
Notice is hereby given that Jackson County, Indiana (the “County”), has executed a lease, dated as of July 21, 2020 (the “Lease”), between the Jackson County Building Corporation (the “Building Corporation”), as lessor, and the County, as lessee. The County has entered into the Lease for the purpose of assisting the Building Corporation with financing all or a portion of the acquisition of land and the construction, renovation, expansion and/or improvement thereon of one or more buildings, structures and associated infrastructure comprising a county work release facility, to be located at or near the 300 block of Dupont Drive in the City of Seymour, Indiana, and any related improvements (collectively, the “Project”). After a public hearing on the proposed Lease held by the Council of the County (the “Council”) on July 21, 2020, at which all interested parties were provided the opportunity to be heard, the Council adopted a resolution which, among other things, authorized and directed the County officials to execute and deliver the Lease, in substantially the form presented at the meeting, and found that the rental payments to be paid by the County are fair and reasonable and that the use of the Project throughout the term of the Lease will serve the public purpose of the County and is in the best interests of its residents.
The Building Corporation adopted a resolution on July 21, 2020 approving and authorizing the execution of the Lease.
The rental payments due under the Lease will be payable at a rate not to exceed $500,000 per year in semiannual installments. The term of the Lease will begin on the date of issuance of bonds by the Building Corporation to finance costs of the Project and will end on a date not later than twenty (20) years thereafter. The Lease further provides for terms concerning the use, maintenance, repair, indemnification and insurance, destruction of the premises, defaults, remedies, option to purchase and other miscellaneous matters.
The Lease is open to public inspection at the office of the Office of the Auditor of the County, located in the County Building, 11 South Main Street, Brownstown, Indiana.

The Bonds shall be payable from solely from (i) legally available revenues of the County (the “County Revenues”), and (ii) to the extent that the County Revenues are insufficient, the revenues derived from an ad valorem property tax levied by the County pursuant to the Indiana Code 36-1-10-17.

A PRELIMINARY DECLARATORY RESOLUTION DESIGNATING AN ECONOMIC REVITALIZATION AREA AND APPROVING TAX ABATEMENT
WHEREAS, State law (I.C. 6-1.1-12.1-1 et seq.) has granted to the Common Council of the City of Scottsburg, Indiana (the “Council”) the right and opportunity to abate the payment of tax on real property improvements located in an area declared by the Council to be an Economic Revitalization Area (“ERA”); and
WHEREAS, KDG Properties, LLC (hereafter referred to as “KDG”) has applied to the Council to declare the real estate described in Exhibit A attached hereto, an ERA; and
WHEREAS, KDG has also filed a Statement of Benefits Real Property (SB-1 RP) describing and seeking tax abatement on proposed rehabilitated structures to be located within the area described in Exhibit A; and
WHEREAS, KDG plans to rehabilitate the apartment buildings and the apartment buildings will contain at least twenty percent (20%) of the units available for use by low and moderate income individuals; and
WHEREAS, the improvement of the apartment complex and Real Estate would be to the benefit and welfare of all citizens and taxpayers of the City; and
WHEREAS, KDG’s Statement of Benefits have been reviewed by the Council, and the Council now finds as follows:

  1. The estimate of the value of the redevelopment or rehabilitation is reasonable for projects of that nature.
  2. Any other benefits about which information was requested are benefits that can be reasonably expected to result from the proposed described redevelopment or rehabilitation.
  3. The totality of benefits is sufficient to justify the deduction.
    WHEREAS, the Council desires to grant the requested tax abatement to support approximately Four Hundred Fifty Thousand Dollars ($450,000.00) in rehabilitation to the structures located within the area described in Exhibit “A” by March 15, 2021 to increase affordable and quality housing, to encourage development in an area undesirable for normal development, to expand the property tax base, and to revitalize the City of Scottsburg, Indiana.
    NOW, THEREFORE, BE IT RESOLVED, by the Common Council of the City of Scottsburg, Indiana, as follows:
    SECTION I
    That the real estate described in Exhibit A should be and is hereby declared to be an Economic Revitalization Area as defined in I.C. 6-1.1-12.1-1 et seq.
    SECTION II
    That deductions from the assessed value of redevelopment or rehabilitation of real property in the ERA established by this Council shall be allowed over a ten (10) year deduction period, pursuant to an alternative abatement schedule pursuant to I.C. 6-1.1-12.1-17 as follows and attached to the SB-1/RP.

    SECTION V
    That a certified copy of this Resolution, including Exhibit A attached hereto, shall be filed with the Clerk-Treasurer of the City of Scottsburg, Indiana.

    This Resolution shall be in full force and effect from and after its passage, execution, and publication as required by law.

NOTICE OF HEARING ON PROPOSED LEASE BETWEEN JACKSON COUNTY BUILDING CORPORATION AND JACKSON COUNTY, INDIANA
(THIS NOTICE SUPERSEDES AND REPLACES THE NOTICE PUBLISHED ON JUNE 17, 2020)
You are hereby notified that on Tuesday, July 21, 2020, the Board of Commissioners of Jackson County, Indiana will hold a public hearing on a proposed lease to be entered into between the Jackson County Building Corporation (the “Corporation”), as lessor, and Jackson County, Indiana (the “County”), as lessee (the “Lease”) with respect to the financing of the acquisition of land and the construction, renovation, expansion and/or improvement thereon of one or more buildings, structures and associated infrastructure comprising a county work release facility, to be located at or near the 300 block of Dupont Drive in the City of Seymour, Indiana (the “City”), the installation and equipping of such facilities, and the construction, renovation, repair and equipping of other improvements and projects related thereto (collectively, the “Project”).
Such public hearing will be held at 9:00 a.m., local time, on Tuesday, July 21, 2020, in the Meeting Room in the Jackson County Courthouse, 111 South Main Street, Brownstown, Indiana. 
The leased premises (the “Premises”) under the proposed lease consists of the Project, and the real estate on which such Project will be located. The proposed lease is for a term of up to twenty (20) years commencing on the date of issuance of bonds of the Corporation to finance the Project (the “Bonds”). The annual lease rental will not exceed Five Hundred Thousand Dollars ($500,000) payable in semiannual installments on June 30 and December 31 of each year during the term of the Lease. Each rental installment shall be based on the value of the portion of the Premises which will be complete and ready for use and occupancy by the County at the time such semi-annual installment is made. As additional rental, the County shall maintain insurance on the Premises as required in the Lease and shall pay all taxes and assessments against such property, as well as the cost of alterations and repairs. After a sale of the Bonds, the yearly rental, payable in semiannual installments on each June 30 and December 31 shall be reduced to the multiple of $1,000 next higher than the principal and interest due on the Bonds in each twelve month period commencing on June 30, plus $5,000, payable in such semiannual installments. The County shall pay such lease rentals solely from (i) legally available revenues of the County (the “County Revenues”), and (ii) to the extent that the County Revenues are insufficient, the revenues derived from an ad valorem property tax levied by the County pursuant to the Indiana Code 36-1-10-17 (the “Property Tax Revenues”). The County may pay such lease rentals from other revenues legally available to the County.
The lease gives an option to the County to purchase the Premises. The Project will be used for a County work release facility.
The drawings, plans, specifications and related information, including the estimates for the cost of providing the Project, as well as a copy of the proposed lease, are available for inspection by the public during normal business hours, at the office of the Auditor of the County, Jackson County Courthouse, 111 South Main Street, Brownstown, Indiana. 
At such hearing, all persons interested shall have a right to be heard upon the necessity for the execution of the Lease, and upon whether the lease rental provided for therein to be paid by the County to the Corporation is a fair and reasonable rental for the Premises. Such hearing may be adjourned to a later date or dates. Following such hearing, the Board of Commissioners may authorize the execution of the Lease as originally agreed upon, rescind the proposed Lease, or make modifications therein as may be agreed upon with the Corporation, but in no event may the rental exceed the amounts set forth in this notice. The Board of Commissioners may approve the execution of the Lease if it finds that the service to be provided throughout the term of the Lease will serve the public purpose of the County and is in the best interests of its residents.

PUBLIC HEARING NOTICE
On or about July 31, 2020, the City of Scottsburg intends to apply to the Indiana Office of Community and Rural Affairs for a grant from the State Community Development Block Grant (CDBG) Phase 2 COVID-19 Response Program. This program is funded by Title I of the federal Housing and Community Development Act of 1974, as amended. These funds are to be used for a community development project that will include the following activities: Phase 2 COVID-19 Response program to provide grants for working capital to businesses within the City of Scottsburg. The total amount of CDBG funds to be requested is $250,000. The amount of CDBG funds proposed to be used for activities that will benefit low- and moderate-income persons is $127,500. The Applicant also proposes to expend an estimated $6,250 in non-CDBG funds on the project. These non-CDBG funds will be derived from the following sources: City of Scottsburg Cash on Hand, $6,250.

Scott County School District 2 General Obligation Bonds of 2020 (the “Bonds”), an Indiana political subdivision, in the principal amount of $2,000,000; Fully registered form; Denomination $5,000 and integral multiples thereof (or in such other denomination as requested by the winning bidder); Originally dated the date of delivery of the Bonds; Bearing interest at a rate or rates to be determined by bidding, payable on July 15, 2021, and semiannually thereafter; These Bonds will be initially issued in a Book Entry System (as defined in the Bond Resolution (as hereinafter defined)) unless otherwise requested by the winning bidder. Interest payable by check mailed one business day prior to the interest payment date or by wire transfer to depositories on the interest payment date to the person or depository in whose name each Bond is registered with The Bank of New York Mellon Trust Company, N.A. (the “Registrar”) on the fifteenth day immediately preceding such interest payment date; Maturing or subject to mandatory redemption on January 15 and July 15 beginning July 15, 2026 through no later than January 15, 2030 on the dates and amounts as provided by the School Corporation prior to the sale.
As an alternative to PARITY®, bidders may submit a sealed bid or e-mail the bid electronically to the School Corporation’s municipal advisor at the address described above until the time and on the date identified in the notice given by, or on behalf of the School Corporation, twenty-four hours prior to the sale of the Bonds. Upon completion of the bidding procedures described herein, the results of the sealed, nonelectronic bids received shall be compared to the electronic bids received by the School Corporation.
The Bonds are not subject to optional redemption prior to maturity.
A bid may designate that a given maturity or maturities shall constitute a term bond, and the semiannual amounts set forth in the schedule provided prior to the sale shall constitute the mandatory sinking fund redemption requirements for such term bond or bonds. For purposes of computing net interest cost, the mandatory redemption amounts shall be treated as maturing on the dates set forth in the schedule provided prior to the sale.
In the case of any redemption, 30 days’ notice will be given by mail to the registered owners of the Bonds to be redeemed, and accrued interest will be paid to the date fixed for redemption. Interest on the Bonds so called for redemption will cease on the redemption date fixed in said notice if funds are available at the place of redemption to redeem the Bonds so called on the date fixed in said notice, or thereafter when presented for payment.
The Bonds have been designated as qualified tax-exempt obligations for purposes of Section 265(b)(3) of the Internal Revenue Code of 1986, as amended (the “Code”).
Each bid must be for all of the Bonds and must state the rate of interest which each maturity of the Bonds is to bear, stated in multiples of 1/8th, 1/20th or 1/100th of 1%. The maximum interest rate of the Bonds shall not exceed 4.00% per annum. All Bonds maturing on the same date shall bear the same rate. No bid for less than 99.50% of the face value of the Bonds will be considered. The Bonds will be awarded to the lowest responsible and responsive bidder who has submitted a bid in accordance herewith (the “Purchaser”), The Purchaser will be the one who offers the lowest net interest cost to the School Corporation, to be determined by computing the total interest on all of the Bonds to their maturities based upon the schedule provided by the School Corporation prior to the sale and deducting therefrom the premium bid, if any, and adding thereto the discount bid, if any. No conditional bids will be considered. The right is reserved to reject any and all bids. If an acceptable bid is not received for the Bonds on the date of sale hereinbefore fixed, the sale may be continued from day to day thereafter without further advertisement, during which time no bid which provides a higher net interest cost to the Corporation than the best bid received at the time of the advertised sale will be considered.
Each bid not submitted via PARITY® must be enclosed in a sealed envelope addressed to the School Corporation and marked on the outside “Scott County School District 2 Bid for General Obligation Bonds of 2020.” A good faith deposit (“Deposit”) in the form of cash, wire transfer, or certified or cashier’s check in the amount of $20,000 payable to the order of the School Corporation is required to be submitted by the Purchaser not later than 3:30 p.m. (EST) on the next business day following the award. If such Deposit is not received by that time, the School Corporation may reject the bid. No interest on the Deposit will accrue to the Purchaser. The Deposit will be applied to the purchase price of the Bonds. In the event the Purchaser fails to honor its accepted bid, the Deposit will be retained by the School Corporation as liquidated damages.
The Purchaser shall make payment for such Bonds and accept delivery thereof within five days after being notified that the Bonds are ready for delivery, at such place in the City of Indianapolis, Indiana, as the Purchaser may designate, or at such other location mutually agreed to by the School Corporation and the Purchaser. The Bonds will be ready for delivery within 45 days after the date of sale. If the School Corporation fails to have the Bonds ready for delivery prior to the close of banking hours on the forty-fifth day after the date of sale, the Purchaser may secure the release of the bid upon request in writing, filed with the School Corporation. The Purchaser is expected to apply to a securities depository registered with the Securities and Exchange Commission (“SEC”) to make such Bonds depository eligible, If the Bonds are reoffered, at the time of delivery of the Bonds to the Purchaser, the Purchaser will be required to certify to the School Corporation the initial reoffering price to the public of a substantial amount of each maturity of the Bonds.
All provisions of the bid form and Preliminary Official Statement (as hereinafter defined) are incorporated herein. As set forth in the Preliminary Official Statement, the Purchaser agrees by submission of their bid to assist the School Corporation in establishing the issue price of the Bonds under the terms outlined therein and shall execute and deliver to the School Corporation at closing an “issue price” certificate, together with the supporting pricing wires or equivalent communications, with such modifications as may be appropriate or necessary, in the reasonable Judgment of the Purchaser, the School Corporation and Ice Miller LLP (“Bond Counsel”).
Bidders must comply with the rules of PARITY (the “Rules”) in addition to requirements of this Notice. To the extent there is a conflict between the Rules and this Notice, this Notice shall control. Bidders may change and submit bids as many times as they wish during the sale, but they may not withdraw a submitted bid. The last bid submitted by a bidder prior to the deadline for the receipt of bids will be compared to all other final bids to determine the winning bid. During the sale, no bidder will see any other bidders bid, nor will they see the status of their bid relative to other bids (e.g., whether their bid is a leading bid).
It is anticipated that CUSIP identification numbers will be printed on the Bonds, but neither the failure to print such numbers on any Bond nor any error with respect thereto shall constitute cause for failure or refusal by the successful bidder therefore to accept delivery of and pay for the Bonds in accordance with the terms of its proposal. No CUSIP identification number shall be deemed to be a part of any Bond or a part of the contract evidenced thereby and no liability shall hereafter attach to the School Corporation or any of its officers or agents because of or on account of such numbers. All expenses in relation to the printing of CUSIP identification numbers on the Bonds shall be paid for by the School Corporation; provided, however, that the CUSIP Service Bureau charge for the assignment of said numbers shall be the responsibility of and shall be paid for by the Purchaser. The Purchaser will also be responsible for any other fees or expenses it incurs in connection with the resale of the Bonds.
The approving opinion of Bond Counsel, together with a transcript of the proceedings relating to the issuance of the Bonds and closing papers in the usual form showing no litigation questioning the validity of the Bonds, will be furnished to the successful bidder at the expense of the School Corporation.
The Bonds are being issued for the purpose of the renovation of and improvements to school facilities, including site improvements and the purchase of real estate, equipment, buses and technology, and will be direct obligations of the School Corporation payable out of ad valorem taxes to be collected on the taxable property within the School Corporation; however, the School Corporations collection of the levy may be limited by operation of I.C. 61.120.6, which provides taxpayers with tax credits for property taxes attributable to different classes of property in an amount that exceeds certain percentages of the gross assessed value of that property. The School Corporation is required by law to fully fund the payment of debt service on the Bonds in an amount sufficient to pay the debt service, regardless of any reduction in property tax collections due to the application of such tax credits. The School Corporation may not be able to levy or collect additional property taxes to make up this shortfall. The School Corporation is a school corporation organized pursuant to the provisions of I.C. 2023; the Bonds will not be “private activity bonds” as defined in Section 141 of the Code.
The Bonds constitute an indebtedness only of the School Corporation. In the opinion of Bond Counsel, under the existing federal statutes, decisions, regulations and rulings, the interest on the Bonds is exempt from all income taxation in Indiana. In the opinion of Bond Counsel, under the existing federal statutes, decisions, regulations and rulings, the interest on the Bonds is excludable from gross income for purposes of federal income taxation.
The School Corporation has prepared a Preliminary Official Statement (the “Preliminary Official Statement”) relating to the Bonds which it has deemed nearly final. A copy of the Preliminary Official Statement may be obtained from the School Corporation’s municipal advisor, Therber & Brock, 11550 North. Meridian Street, Suite 275, Carmel, Indiana 46032, Within seven (7) business days of the sale, the School Corporation will provide the successful bidder with sufficient copies of the Final Official Statement (the “Final Official Statement”) at the School Corporation’s expense in order for such bidder to comply with Section (b)(4) of the SEC Rule 15c2-12 and the rules of the Municipal Securities Rulemaking Board. Additional copies, at the Purchaser’s expense, must be requested within five (5) business days of the sate. Inquiries concerning matters contained in the Preliminary Official Statement must he made and pricing and other information necessary to complete the Final Official Statement must be submitted by the Purchaser within two (2) business days following the sale to be included in the Final Official Statement.
If the Bonds are reoffered by an underwriter, the School Corporation agrees to enter into a second supplement to the master continuing disclosure undertaking (tile “Master Agreement”) in order to permit the Purchaser to comply with the SEC Rule 15c212, as amended to the date hereof (the “SEC Rule”). A copy of the Master Agreement is available from the School Corporation or municipal advisor at the addresses below,
The School Corporation has further agreed to comply with the Purchaser’s reasonable requests to provide or disclose information and make appropriate filings which may be required in order for such purchaser to comply with the SEC Rule.

Upon not less than twenty-four (24) hours’ notice given by the undersigned Secretary prior to the ninetieth day after this notice is first published, Scott County School District 2 (the “School Corporation”) will receive and consider bids for the purchase of the following described Bonds. Scott County School District 2 General Obligation Bonds of 2020 (the “Bonds”), an Indiana political subdivision, in the principal amount of $2,000,000; Fully registered form; Denomination $5,000 and integral multiples thereof (or in such other denomination as requested by the winning bidder); Originally dated the date of delivery of the Bonds; Bearing interest at a rate or rates to be determined by bidding, payable on July 15, 2021, and semiannually thereafter; These Bonds will be initially issued in a Book Entry System (as defined in the Bond Resolution (as hereinafter defined)) unless otherwise requested by the winning bidder. Interest payable by check mailed one business day prior to the interest payment date or by wire transfer to depositories on the interest payment date to the person or depository in whose name each Bond is registered with The Bank of New York Mellon Trust Company, N.A. (the “Registrar”) on the fifteenth day immediately preceding such interest payment date; Maturing or subject to mandatory redemption on January 15 and July 15 beginning July 15, 2026 through no later than January 15, 2030 on the dates and amounts as provided by the School Corporation prior to the sale.
As an alternative to PARITY®, bidders may submit a sealed bid or e-mail the bid electronically to the School Corporation’s municipal advisor at the address described above until the time and on the date identified in the notice given by, or on behalf of the School Corporation, twenty-four hours prior to the sale of the Bonds. Upon completion of the bidding procedures described herein, the results of the sealed, nonelectronic bids received shall be compared to the electronic bids received by the School Corporation.
The Bonds are not subject to optional redemption prior to maturity.
A bid may designate that a given maturity or maturities shall constitute a term bond, and the semiannual amounts set forth in the schedule provided prior to the sale shall constitute the mandatory sinking fund redemption requirements for such term bond or bonds. For purposes of computing net interest cost, the mandatory redemption amounts shall be treated as maturing on the dates set forth in the schedule provided prior to the sale.
In the case of any redemption, 30 days’ notice will be given by mail to the registered owners of the Bonds to be redeemed, and accrued interest will be paid to the date fixed for redemption. Interest on the Bonds so called for redemption will cease on the redemption date fixed in said notice if funds are available at the place of redemption to redeem the Bonds so called on the date fixed in said notice, or thereafter when presented for payment.
The Bonds have been designated as qualified tax-exempt obligations for purposes of Section 265(b)(3) of the Internal Revenue Code of 1986, as amended (the “Code”).
Each bid must be for all of the Bonds and must state the rate of interest which each maturity of the Bonds is to bear, stated in multiples of 1/8th, 1/20th or 1/100th of 1%. The maximum interest rate of the Bonds shall not exceed 4.00% per annum. All Bonds maturing on the same date shall bear the same rate. No bid for less than 99.50% of the face value of the Bonds will be considered. The Bonds will be awarded to the lowest responsible and responsive bidder who has submitted a bid in accordance herewith (the “Purchaser”), The Purchaser will be the one who offers the lowest net interest cost to the School Corporation, to be determined by computing the total interest on all of the Bonds to their maturities based upon the schedule provided by the School Corporation prior to the sale and deducting therefrom the premium bid, if any, and adding thereto the discount bid, if any. No conditional bids will be considered. The right is reserved to reject any and all bids. If an acceptable bid is not received for the Bonds on the date of sale hereinbefore fixed, the sale may be continued from day to day thereafter without further advertisement, during which time no bid which provides a higher net interest cost to the Corporation than the best bid received at the time of the advertised sale will be considered.
Each bid not submitted via PARITY® must be enclosed in a sealed envelope addressed to the School Corporation and marked on the outside “Scott County School District 2 Bid for General Obligation Bonds of 2020.” A good faith deposit (“Deposit”) in the form of cash, wire transfer, or certified or cashier’s check in the amount of $20,000 payable to the order of the School Corporation is required to be submitted by the Purchaser not later than 3:30 p.m. (EST) on the next business day following the award. If such Deposit is not received by that time, the School Corporation may reject the bid. No interest on the Deposit will accrue to the Purchaser. The Deposit will be applied to the purchase price of the Bonds. In the event the Purchaser fails to honor its accepted bid, the Deposit will be retained by the School Corporation as liquidated damages.
The Purchaser shall make payment for such Bonds and accept delivery thereof within five days after being notified that the Bonds are ready for delivery, at such place in the City of Indianapolis, Indiana, as the Purchaser may designate, or at such other location mutually agreed to by the School Corporation and the Purchaser. The Bonds will be ready for delivery within 45 days after the date of sale. If the School Corporation fails to have the Bonds ready for delivery prior to the close of banking hours on the forty-fifth day after the date of sale, the Purchaser may secure the release of the bid upon request in writing, filed with the School Corporation. The Purchaser is expected to apply to a securities depository registered with the Securities and Exchange Commission (“SEC”) to make such Bonds depository eligible, If the Bonds are reoffered, at the time of delivery of the Bonds to the Purchaser, the Purchaser will be required to certify to the School Corporation the initial reoffering price to the public of a substantial amount of each maturity of the Bonds.
All provisions of the bid form and Preliminary Official Statement (as hereinafter defined) are incorporated herein. As set forth in the Preliminary Official Statement, the Purchaser agrees by submission of their bid to assist the School Corporation in establishing the issue price of the Bonds under the terms outlined therein and shall execute and deliver to the School Corporation at closing an “issue price” certificate, together with the supporting pricing wires or equivalent communications, with such modifications as may be appropriate or necessary, in the reasonable Judgment of the Purchaser, the School Corporation and Ice Miller LLP (“Bond Counsel”).
Bidders must comply with the rules of PARITY (the “Rules”) in addition to requirements of this Notice. To the extent there is a conflict between the Rules and this Notice, this Notice shall control. Bidders may change and submit bids as many times as they wish during the sale, but they may not withdraw a submitted bid. The last bid submitted by a bidder prior to the deadline for the receipt of bids will be compared to all other final bids to determine the winning bid. During the sale, no bidder will see any other bidders bid, nor will they see the status of their bid relative to other bids (e.g., whether their bid is a leading bid).
It is anticipated that CUSIP identification numbers will be printed on the Bonds, but neither the failure to print such numbers on any Bond nor any error with respect thereto shall constitute cause for failure or refusal by the successful bidder therefore to accept delivery of and pay for the Bonds in accordance with the terms of its proposal. No CUSIP identification number shall be deemed to be a part of any Bond or a part of the contract evidenced thereby and no liability shall hereafter attach to the School Corporation or any of its officers or agents because of or on account of such numbers. All expenses in relation to the printing of CUSIP identification numbers on the Bonds shall be paid for by the School Corporation; provided, however, that the CUSIP Service Bureau charge for the assignment of said numbers shall be the responsibility of and shall be paid for by the Purchaser. The Purchaser will also be responsible for any other fees or expenses it incurs in connection with the resale of the Bonds.
The approving opinion of Bond Counsel, together with a transcript of the proceedings relating to the issuance of the Bonds and closing papers in the usual form showing no litigation questioning the validity of the Bonds, will be furnished to the successful bidder at the expense of the School Corporation.
The Bonds are being issued for the purpose of the renovation of and improvements to school facilities, including site improvements and the purchase of real estate, equipment, buses and technology, and will be direct obligations of the School Corporation payable out of ad valorem taxes to be collected on the taxable property within the School Corporation; however, the School Corporations collection of the levy may be limited by operation of I.C. 61.120.6, which provides taxpayers with tax credits for property taxes attributable to different classes of property in an amount that exceeds certain percentages of the gross assessed value of that property. The School Corporation is required by law to fully fund the payment of debt service on the Bonds in an amount sufficient to pay the debt service, regardless of any reduction in property tax collections due to the application of such tax credits. The School Corporation may not be able to levy or collect additional property taxes to make up this shortfall. The School Corporation is a school corporation organized pursuant to the provisions of I.C. 2023; the Bonds will not be “private activity bonds” as defined in Section 141 of the Code.
The Bonds constitute an indebtedness only of the School Corporation. In the opinion of Bond Counsel, under the existing federal statutes, decisions, regulations and rulings, the interest on the Bonds is exempt from all income taxation in Indiana. In the opinion of Bond Counsel, under the existing federal statutes, decisions, regulations and rulings, the interest on the Bonds is excludable from gross income for purposes of federal income taxation.
The School Corporation has prepared a Preliminary Official Statement (the “Preliminary Official Statement”) relating to the Bonds which it has deemed nearly final. A copy of the Preliminary Official Statement may be obtained from the School Corporation’s municipal advisor, Therber & Brock, 11550 North. Meridian Street, Suite 275, Carmel, Indiana 46032, Within seven (7) business days of the sale, the School Corporation will provide the successful bidder with sufficient copies of the Final Official Statement (the “Final Official Statement”) at the School Corporation’s expense in order for such bidder to comply with Section (b)(4) of the SEC Rule 15c2-12 and the rules of the Municipal Securities Rulemaking Board. Additional copies, at the Purchaser’s expense, must be requested within five (5) business days of the sate. Inquiries concerning matters contained in the Preliminary Official Statement must he made and pricing and other information necessary to complete the Final Official Statement must be submitted by the Purchaser within two (2) business days following the sale to be included in the Final Official Statement.
If the Bonds are reoffered by an underwriter, the School Corporation agrees to enter into a second supplement to the master continuing disclosure undertaking (tile “Master Agreement”) in order to permit the Purchaser to comply with the SEC Rule 15c212, as amended to the date hereof (the “SEC Rule”). A copy of the Master Agreement is available from the School Corporation or municipal advisor at the addresses below,
The School Corporation has further agreed to comply with the Purchaser’s reasonable requests to provide or disclose information and make appropriate filings which may be required in order for such purchaser to comply with the SEC Rule.
